TERMS CONDITIONS AGREEMENT

Please stop and take a few minutes to read this agreement carefully.

Binding Agreement: By participating in this Trade-In Program YOU AGREE TO BE BOUND BY THESE TERMS & CONDITIONS (explained below) and all disclaimers and terms and conditions that appear elsewhere on the Trade-in Web Site. It is your responsibility, prior to participating in this Trade-In Program, to read these Terms & Conditions carefully to understand your rights and obligations. If you are dissatisfied with the Trade-In Web Site, its content, or these Terms & Conditions, you agree that your sole and exclusive remedy is to discontinue using the Trade-In Web Site.

Best Buy and Dealtree: REFERENCES TO “DEALTREE” REFER TO BEST BUY STORES, L.P., OR ITS AFFILIATES AND SUBSIDIARIES AS DEEMED APPROPRIATE BY BEST BUY.

Changes: Best Buy and Dealtree reserve the right to make changes to the Trade-In Web Site and these Terms & Conditions at any time. Each time you wish to participate in the Trade-In Program, you should review the then-current Terms & Conditions.

Rights and Obligations Regarding the Trade-In Program: You agree to the following terms and conditions:

1. Ownership and Authority to Trade. You warrant and represent that you are the sole and rightful owner of the item bearing the specifications, serial number, and model number which you have provided (the "Item"). You further warrant and represent that you have full authority to sell or otherwise dispose of the Item (or such authority was rightfully granted to you by the rightful owner).

2. Accuracy of Information. You agree that all information you provide about the Items for trade-in as well as information you have or will provide about yourself is true, accurate, and complete.

3. Limitations and Final Determinations. You acknowledge and agree that Dealtree may reject or limit the quantity of Items to be traded in under the Trade-In Program. You agree that all determinations of Dealtree or Best Buy with respect to trade-in and credit value assigned to the Item after its inspection will be accepted as final and are not negotiable.

4. Working Order Upon Arrival. You agree that you are providing the Item to Dealtree in working order, and you shall be solely responsible for the arrival condition of the Item at Dealtree's facilities. It is important that you carefully package the Item to ensure that the Item is delivered to Dealtree without damage as those damages are your responsibility.

5. Prompt Shipment. You agree to ship the Item to the address provided within 30 days of accepting the estimate. If the Item is not received within 30 days of the date on which the estimate was provide to you, then Dealtree has the right to revise or withdraw the estimate for the trade-in or credit value of the Item.

6. Costs of Packaging and Shipment. Dealtree will provide you with a prepaid shipping label for the shipment of your Item to Dealtree. You agree that you are solely responsible for all costs associated with the packaging of the Item for shipment to Dealtree and, if applicable, the shipping and handling costs to return the Item to you.

7. Loss or Damage to the Item and Its Contents. You agree that Best Buy and Dealtree will not be responsible under any circumstances for any loss or damage to the Item, including but not limited to any associated data, software, information, or files. You acknowledge that it is your sole responsibility to remove any media from the Item, including memory cards, disks, and tapes.

8. Transfer of Ownership. Upon receipt and acceptance of the Item by Dealtree, you hereby agree to transfer all right to and title in the Item to Dealtree, in exchange for the trade-in or credit value quoted to you.

9. Final Transaction; No Rescission. You acknowledge and agree that the trade-in transaction is final and cannot be rescinded after your Item is received by Dealtree, unless Dealtree or Best Buy contacts you to provide notification that your description of the Item was inconsistent with Dealtree’s evaluation of your Item.

10. Items Inconsistent with Provided Description: If Dealtree or Best Buy provides notification that your description of the item was inconsistent with Dealtree’s evaluation of your item, you will be provided with an updated quote of trade-in or credit value. You may elect to either trade your item in exchange for the updated trade-in or credit value, or; you may elect for the item to be returned to you upon payment of return shipping costs. In order to have the item returned to you at your own expense, you must promptly respond to our email within 3 days of being contacted. If no response is received within this time period, we will presume that the updated trade-in value option is elected, and the item will processed using for the updated value.

11. Data and Software. Upon Dealtree’s receipt and acceptance of your Item, Dealtree will delete any data and/or software on the Item and sanitize the Item’s hard drive (if applicable). You understand and agree that any data or other information stored on the Item will thereafter be unrecoverable.

12. Release of Liability. To the extent permitted by applicable law, you hereby release Dealtree and Best Buy from and against any liability arising out of or related to the shipment of the Item, the deletion of any data or files from the Item, the evaluation and assessment of the Item (and the corresponding trade-in valuation) made by Dealtree or Best Buy, and the non-availability of the Item after it has been accepted by Dealtree.
